Terms of Service

1. Acceptance of Terms

By creating an account or posting a listing on the Aeglos Buy & Sell marketplace ("the Marketplace"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Marketplace. These Terms apply in addition to any other agreements you have with Aeglos Systems LLC.

2. Age Requirement

By registering an account, you represent and warrant that:

• You are at least 18 years of age, or the minimum legal age required to purchase, operate, or enter into binding contracts in your jurisdiction, whichever is greater.
• You meet all age requirements imposed by your state or local jurisdiction to legally purchase and operate an electric bicycle or electric dirt bike.
• If you are under 18, you have obtained verifiable consent from a parent or legal guardian who agrees to these Terms on your behalf and accepts responsibility for your use of the Marketplace.

Aeglos Systems LLC reserves the right to suspend or terminate any account where age requirements are not met.

3. Marketplace Role — We Are Not a Party to Transactions

Aeglos Systems LLC acts solely as a platform facilitating communication between independent buyers and sellers. We are not a broker, dealer, auctioneer, or party to any transaction conducted through the Marketplace.

We do not:

• Own, inspect, verify, warrant, or guarantee any item listed for sale.
• Guarantee the accuracy, completeness, or truthfulness of any listing.
• Process payments, hold funds, or facilitate the transfer of title or ownership.
• Guarantee that any buyer or seller will complete a transaction.

All transactions are conducted entirely between buyers and sellers. Aeglos Systems LLC has no control over and assumes no responsibility for the quality, safety, legality, or availability of any listed item.

4. Disclaimer of Warranties

THE MARKETPLACE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Aeglos Systems LLC does not warrant that the Marketplace will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any listing is accurate, complete, reliable, current, or error-free.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AEGLOS SYSTEMS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Marketplace.
• Any loss of profit, revenue, data, goodwill, or other intangible losses.
• Any conduct or content of any third party on the Marketplace, including without limitation any defamatory, offensive, or illegal conduct of other users.
• Any personal injury, property damage, theft, fraud, or other harm resulting from a transaction or interaction facilitated through the Marketplace.
• Any damage or loss arising from the purchase, sale, operation, or use of any electric bicycle, electric dirt bike, or related equipment listed on the Marketplace.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED TWELVE DOLLARS AND THIRTY-TWO CENTS ($12.32 USD).

6. User Responsibilities and Prohibited Conduct

By posting a listing, you represent and warrant that:

• You own the item listed or are authorized to sell it.
• All information in your listing is accurate, truthful, and not misleading.
• The sale of the listed item does not violate any applicable law, regulation, or third-party rights.
• You will not post stolen, counterfeit, or fraudulently obtained items.
• You will not engage in price manipulation, shill bidding, or any form of market manipulation.
• You will not harass, threaten, or defraud other users.

Aeglos Systems LLC reserves the right to remove any listing and suspend or terminate any account at our sole discretion, with or without notice, for any violation of these Terms or for any other reason we deem appropriate.

7. Safety and Legal Compliance

Electric bicycles and electric dirt bikes are subject to varying regulations by state, county, and municipality. By using the Marketplace, you acknowledge that:

• It is your sole responsibility to understand and comply with all applicable laws in your jurisdiction regarding the purchase, registration, operation, and safety equipment requirements for any electric vehicle you buy or sell.
• Aeglos Systems LLC makes no representation that any listed item is street-legal, compliant with local regulations, or suitable for any particular use.
• You assume all risk associated with operating any electric bicycle or electric dirt bike, including risk of injury to yourself or others.
• You agree to operate any purchased vehicle responsibly, wearing appropriate safety gear, and in compliance with all applicable traffic laws.

8. Indemnification

You agree to defend, indemnify, and hold harmless Aeglos Systems LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Marketplace; (b) your listings or transactions; (c) your violation of these Terms; or (d) your violation of any third-party right.

9. Privacy

Contact information you provide in a listing (email address, phone number) will be visible to other users of the Marketplace. Do not post contact information you do not wish to be publicly visible. Aeglos Systems LLC is not responsible for how other users use your publicly posted contact information.

10. Modifications to Terms

Aeglos Systems LLC reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Marketplace following the posting of revised Terms constitutes your acceptance of the changes.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in North Carolina, and you hereby consent to personal jurisdiction in such courts.
